Collective Crate Terms of Use

These Terms of Use (the “Terms”) are a legally binding agreement between you (“you”, “User”) and Collective Crate LLC (“Collective Crate,” “we,” “us,” or “our”) governing your access to and use of our website, applications, and online marketplace services (the “Site”). By accessing or using the Site, creating an account, or making a purchase through the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

1. Eligibility
- Age. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Site in any way that involves a financial transaction.
- Location and Capacity. You represent that you have the legal capacity to enter into these Terms and that you are not prohibited by law from using the Site.
- Vendors. If you register as a Vendor, additional eligibility requirements apply under the Vendor Agreement at /legal/vendor-terms.
2. Our Role as a Marketplace
Collective Crate operates an online marketplace that connects independent vendors (“Vendors”) with customers (“Customers”). Except where we expressly state otherwise in writing, we are not the buyer or seller of products offered on the Site.
Vendors are solely responsible for:
- Creating and maintaining product listings;
- Setting prices, availability, and product descriptions;
- Complying with all laws, regulations, and permits;
- Preparing, packaging, and fulfilling orders; and
- Providing customer service and addressing complaints.
We do not guarantee, endorse, or warrant the quality, safety, legality, or fitness for a particular purpose of any products or services offered by Vendors. Vendors are independent businesses and are not employees, agents, or partners of Collective Crate.
3. Your Account
- Registration. To use certain features (such as placing orders, saving favorites, or selling products), you must create an account and provide accurate, current, and complete information.
- Account Security. You are responsible for keeping login methods confidential, restricting access to your devices, and all activity under your account.
- Updates. Promptly update your account information if it changes, including email, phone, and payment details.
- Suspension/Termination. We may suspend or terminate access if we reasonably believe you violated these Terms, engaged in fraud/abuse, or created risk to others.
4. Use of the Site
Permitted Use. Use the Site solely for lawful purposes and per these Terms.
Prohibited Actions include:
- Illegal use or violation of laws/regulations;
- Interfering with Site operation or security;
- Scraping/crawling/harvesting data without permission;
- Impersonation or misrepresentation;
- Harassing, threatening, or abusing others.
No Circumvention. Do not take Site-initiated transactions off-platform to avoid fees.
5. Orders and Contracts
- Placing Orders. An order is your offer to buy from applicable Vendor(s). Vendors may accept or reject at their discretion.
- Contract with Vendor. Your contract is with the Vendor(s). Collective Crate is not a party unless stated otherwise for a specific product/transaction.
- Availability & Errors. Vendors/Collective Crate may correct errors, cancel affected orders, and issue refunds where applicable.
6. Pricing, Fees, and Taxes
- Prices & Fees. Displayed at checkout; marketplace/service fees disclosed before you complete your order.
- Taxes. May be calculated at checkout. In some jurisdictions we may act as a marketplace facilitator and collect/remit certain taxes for Vendors.
- Changes. Prices/fees can change prior to order submission; significant errors may result in cancellation and refund.
7. Payments and Payment Processing
- Processors. We use third‑party payment processors (e.g., Stripe) with their own terms and restricted lists, in addition to these Terms.
- Authorization. You authorize charges for the full amount and authorize refunds/adjustments to the same method when possible.
- Card Info. We generally do not store full card numbers; processors handle collection and processing.
- Failed Payments. May lead to order cancellation, access suspension, and recovery of owed amounts using other methods on file or lawful remedies.
8. Pickup, Delivery, and Risk of Loss
- Fulfillment methods may include pickup, local drop‑off/delivery, or other local methods.
- Risk of loss/title generally pass per law and Vendor policies (e.g., on pickup/delivery).
- You are responsible for accurate info, timely pickup, and receiving perishables.
9. Cancellations, Refunds, and Disputes
- Vendors may have their own policies; review before ordering.
- We may help facilitate disputes but are not obligated; credits/refunds are discretionary.
- Excessive/fraudulent chargebacks may lead to restrictions or termination.
10. Acceptable Use and Prohibited Content
- Do not sell/buy illegal items or those prohibited by our Vendor Agreement or processors.
- Do not upload unlawful/defamatory/obscene/harassing/hateful content.
- Do not infringe intellectual property, privacy, or other rights.
11. Additional Terms for Vendors
Vendors must agree to and comply with the Vendor Agreement at /legal/vendor-terms, incorporated by reference. If there is a conflict, the Vendor Agreement governs for Vendor activities.
12. Intellectual Property
- Our IP. The Site (content, look‑and‑feel, logos, trademarks, software) is owned by or licensed to Collective Crate.
- User Content License. By submitting content, you grant us a worldwide, non‑exclusive, royalty‑free, sublicensable, transferable license to use it to operate and promote the Site.
- Content Responsibility. You have all rights necessary and your content does not violate third‑party rights or laws.
13. Reviews and Feedback
- Reviews must be genuine and not offensive or unlawful.
- We may moderate or remove reviews that violate policies (not obligated).
- Feedback may be used by us without compensation or obligation.
14. Third‑Party Services and Links
The Site may link to or integrate third‑party services (payment, mapping, analytics, etc.). We do not control these third parties; their terms and privacy policies apply.
15. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND ALL CONTENT, PRODUCTS, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT.
- The Site may not operate without interruption or error;
- Defects may not be corrected; and
- Vendor products/services may not meet expectations or be free from defects.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, COLLECTIVE CRATE AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR PRODUCTS/SERVICES OBTAINED THROUGH THE SITE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID DIRECTLY TO COLLECTIVE CRATE (EXCLUDING AMOUNTS PAID TO VENDORS) IN THE THREE (3) MONTHS BEFORE THE EVENT, OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS MAY LIMIT THESE EXCLUSIONS.
17. Indemnification
You agree to indemnify, defend, and hold harmless Collective Crate and its affiliates, officers, directors, employees, and agents from claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms or laws, your User Content, and (for Vendors) your products/services or interactions with Customers.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas and the United States, without regard to conflict of law principles. You agree that actions related to these Terms or the Site will be brought exclusively in the state or federal courts located in Collin County, Texas, and you consent to their jurisdiction.
19. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Effective Date” above and, where required by law, provide additional notice. Continued use after changes become effective constitutes acceptance.
